Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Switchy platform at switchy.build.

1. Definitions

  • “Switchy”, “we”, “us”, “our” refers to Switchy and the Switchy platform at switchy.build.
  • “Service” refers to the Switchy AI workspace, chat interface, Memory API, and all related tools, SDKs, and documentation.
  • “User”, “you”, “your” refers to any individual or entity accessing or using the Service.
  • “Content” refers to text, images, files, code, and other material submitted to or generated through the Service.
  • “API” refers to the Switchy Memory API and associated endpoints.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service. We reserve the right to refuse service to anyone for any reason at any time.

3. Description of the Service

Switchy is a shared AI workspace for teams. It provides:

  • Projects - containers of scoped memory, Slack/Teams channel mappings, and tasks where your team, AI models, and connected tools share context. Team members can also chat inside a Project and invoke AI models from providers including OpenAI, Anthropic, Google, xAI, Meta, and Mistral via OpenRouter by @mention
  • Shared, persistent memory that follows across models, sessions, and surfaces, with Private / Project / Org visibility
  • Access to the same models and memory inside Slack and Microsoft Teams, as well as the web app
  • Autonomous agent tasks: the AI can fetch from and act on your connected tools and accounts, with any write or sensitive action gated behind explicit human approval (see Section 6a)
  • Exposure of your team memory to external AI clients (such as Claude, ChatGPT, and Cursor) through a per-organization MCP server, and a Memory API for developers
  • An admin import that backfills historical chat from a Slack or Teams export archive
  • Usage analytics, billing management, and team collaboration tools

The Service is provided “as is” and may be modified, updated, or discontinued at any time with reasonable notice.

4. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activity that occurs under your account, whether or not authorised by you
  • Notifying us immediately at contact@switchy.build if you suspect unauthorised access
  • Ensuring that your use complies with applicable laws and regulations

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Payments

5.1 Plans

Switchy offers free and paid subscription plans for both Chat and API products. Plan features, limits, and pricing are described on our Pricing page and may be updated from time to time with reasonable notice.

5.2 Billing

Paid subscriptions are billed monthly or annually in advance via Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis. All prices are in US Dollars (USD) and include applicable taxes unless stated otherwise.

5.3 Cancellation and Refunds

You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable law. For EU consumers, the 14-day withdrawal right under the Consumer Rights Directive (2011/83/EU) applies to new subscriptions, unless you have explicitly consented to immediate service provision and acknowledged the loss of withdrawal right.

5.4 Credits and Usage Limits

Credits are pooled at the organization level (not per user) and are granted monthly. Each plan includes a monthly credit allotment along with limits on Projects, connected surfaces, and MCP connections, as described on our Pricing page. Unused credits do not roll over between billing periods. Exceeding plan limits may result in temporary service restrictions until the next monthly grant or an upgrade.

5.5 Launch credits

The first time an organization connects a surface, it receives a one-time bonus grant of launch credits. These bonus credits expire 14 days after they are granted and are swept automatically after that. Only one launch-credit grant is made per organization.

5.6 Downgrades

If you downgrade your plan (for example, from Pro to Free), the change is scheduled to take effect at the end of your current billing period rather than immediately. Until that period ends, your organization keeps the higher plan's features and its credit pool; at the period boundary the plan flips to the lower tier and the next monthly grant is the lower plan's allotment. We do not provide a proration refund for a downgrade.

6. Acceptable Use

You agree not to use the Service to:

  • Generate, distribute, or store content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Attempt to circumvent AI model safety measures, content filters, or platform restrictions
  • Impersonate any person or entity, or misrepresent your affiliation
  • Engage in automated or excessive use that degrades the Service for other users (denial-of-service, scraping at scale, or systematic extraction)
  • Reverse-engineer, decompile, or extract source code from the Service
  • Use the Service to develop a competing product or service
  • Share, transfer, or resell your API keys or account access
  • Use the agent or any connected integration to access systems or data you are not authorised to access
  • Connect accounts, surfaces, or tools that you do not own or are not authorised to connect on your organization's behalf
  • Violate any applicable local, national, or international law or regulation
  • Use the Service in any manner that infringes the intellectual property rights of third parties

We reserve the right to investigate and take appropriate action, including suspension or termination, for violations of this section.

6a. Autonomous Agent Actions

The Service can take actions on the tools and accounts you connect to it (for example reading from, posting to, or creating records in a connected service). Any side-effecting action - anything that sends, posts, creates, deletes, pays, or otherwise changes data in a connected system - requires explicit human approval before it runs.

  • You are responsible for the scopes and permissions you grant a connection, and for the actions that you or your members approve.
  • AI can be wrong. You must review a proposed action before approving it. Once approved, the action is taken on your behalf.
  • To the maximum extent permitted by law, Switchy is not liable for the outcomes of actions you or your members approve.

7. Intellectual Property

7.1 Your Content

You retain ownership of all Content you submit to the Service. By using Switchy, you grant us a limited, non-exclusive licence to process, store, and transmit your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your Content or account.

7.2 AI-Generated Content

Content generated by AI models through the Service is subject to the terms of the respective AI model providers (OpenAI, Anthropic, Google, etc.). You are responsible for reviewing and verifying AI-generated content before use. AI outputs may not be accurate, complete, or suitable for any particular purpose.

7.3 Our Intellectual Property

The Switchy platform, brand, design, code, documentation, and technology are owned by Switchy and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use the Switchy name, logo, or branding without our prior written consent.

8. API Terms

In addition to these general Terms, the following apply to API usage:

  • API keys are personal and non-transferable. You are responsible for all usage under your API keys.
  • You must not exceed the rate limits and operation quotas of your plan.
  • You must include appropriate error handling and must not retry failed requests in a manner that constitutes abuse.
  • We reserve the right to throttle or suspend API access if usage patterns indicate abuse or excessive load.
  • API availability is provided on a best-effort basis. We target 99.9% uptime but do not guarantee uninterrupted access.

9. Data Protection and Privacy

Our handling of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

If you use the API to process personal data of your end users, you act as the data controller for that data. You are responsible for ensuring that your use complies with GDPR and all applicable data protection laws, including obtaining necessary consents and providing appropriate privacy notices to your users.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or suitable for any particular purpose.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you to Switchy in the twelve (12) months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Switchy, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) Content you submit through the Service.

12. Suspension and Termination

We may suspend or terminate your access to the Service if:

  • You violate these Terms or our Acceptable Use policy
  • Your account shows signs of fraudulent, abusive, or illegal activity
  • Required by law, regulation, or court order
  • Necessary to protect the security or integrity of the Service or other users

We will provide reasonable notice before suspension or termination where practicable, except in cases of urgent security concerns or legal requirements. When an organization is deleted, it enters a 7-day recovery window during which it can be restored and its data exported; after that window the data is permanently purged. Backups containing personal data are deleted in the ordinary course of business, no later than approximately 90 days.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Switchy operates. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

13.2 Jurisdiction

For consumers within the EU, this does not affect your right to bring proceedings in the courts of your habitual residence pursuant to Regulation (EU) 1215/2012.

13.3 Online Dispute Resolution

The European Commission provides an online dispute resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration body, unless required by law.

14. Force Majeure

We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or failures of third-party AI model providers.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law (including applicable consumer protection provisions), the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use and may request account deletion.

17. Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Switchy regarding the Service. They supersede all prior agreements, communications, and understandings, whether written or oral.
